\u201cCompany\u201d), which operates the Perfume Europe website (perfumeeurope.com) (\u201cPerfume Europe\u201d or the \u201cSite\u201d).<br \/>The parties agree to promote mutual growth by exercising and fulfilling their rights and obligations in accordance with these T&amp;C.<\/p><h2 data-start=\"772\" data-end=\"813\"><strong data-start=\"775\" data-end=\"813\">Article 1 \u2013 Company data-start=\"1100\" data-end=\"1161\">Article 2 \u2013 Publication, Validity, and Amendments<\/strong><\/h2><ol data-start=\"1162\" data-end=\"1723\"><li data-start=\"1162\" data-end=\"1299\"><p data-start=\"1165\" data-end=\"1299\">The Company publishes these T&amp;C on the homepage (or a dedicated page) of the Site, together with the Company\u2019s legal information.<\/p><\/li><li data-start=\"1300\" data-end=\"1506\"><p data-start=\"1303\" data-end=\"1506\">The Company may amend these T&amp;C within the limits allowed by applicable French and EU laws (including the Consumer Code, Commercial Code, Digital Services Act, GDPR, and related regulations).<\/p><\/li><li data-start=\"1507\" data-end=\"1723\"><p data-start=\"1510\" data-end=\"1723\">In case of modification, the revised T&amp;C, their effective date, and the reason for the change will be displayed at least 14 days before they take effect. The new T&amp;C will apply from that date onward.<\/p><\/li><\/ol><h2 data-start=\"1725\" data-end=\"1755\"><strong data-start=\"1728\" data-end=\"1755\">Article 3 \u2013 Definitions<\/strong><\/h2><ol data-start=\"1756\" data-end=\"2529\"><li data-start=\"1756\" data-end=\"1906\"><p data-start=\"1759\" data-end=\"1906\">Member: Any legal or natural person acting for professional purposes, who has provided the required information to create an account.<\/p><\/li><li data-start=\"1907\" data-end=\"1998\"><p data-start=\"1910\" data-end=\"1998\">User ID: The email address chosen by the Member and validated by the Company.<\/p><\/li><li data-start=\"1999\" data-end=\"2097\"><p data-start=\"2002\" data-end=\"2097\">Password: A combination of characters chosen by the Member to secure their account.<\/p><\/li><li data-start=\"2098\" data-end=\"2205\"><p data-start=\"2101\" data-end=\"2205\">Operator: The person appointed by the Company to manage and operate the Services.<\/p><\/li><li data-start=\"2206\" data-end=\"2358\"><p data-start=\"2209\" data-end=\"2358\">Perfume Europe Credit: Store credit equivalent to cash value credited to a Member\u2019s account (e.g., adjustments, returns, refunds).<\/p><\/li><li data-start=\"2359\" data-end=\"2449\"><p data-start=\"2362\" data-end=\"2449\">Catalogue: The range of branded perfumes available for wholesale purchase on the Site.<\/p><\/li><li data-start=\"2450\" data-end=\"2529\"><p data-start=\"2453\" data-end=\"2529\">Any terms not defined above shall be interpreted according to standard commercial practice.<\/p><\/li><\/ol><h2 data-start=\"2531\" data-end=\"2569\"><strong data-start=\"2534\" data-end=\"2569\">Article 4 \u2013 Nature of the Services<\/strong><\/h2><ol data-start=\"2570\" data-end=\"2861\"><li data-start=\"2570\" data-end=\"2796\"><p data-start=\"2573\" data-end=\"2796\">Development and operation of a B2B e-commerce platform:<br data-start=\"2636\" data-end=\"2639\" \/>i) Sales support;<br data-start=\"2717\" data-end=\"2720\" \/>ii) Purchase support;<br \/>iii) Contract execution;<br \/>iv) Product information search;<br \/>v) Associated e-commerce services.<\/p><\/li><li data-start=\"2797\" data-end=\"2861\"><p data-start=\"2800\" data-end=\"2861\">Professional promotion and advertising services.<\/p><\/li><\/ol><hr data-start=\"2863\" data-end=\"2866\" \/><h1 data-start=\"2868\" data-end=\"2934\"><strong data-start=\"2870\" data-end=\"2934\">Chapter 2 \u2013 User Agreement and Data Protection<\/strong><\/h1><h2 data-start=\"2936\" data-end=\"2989\"><strong data-start=\"2939\" data-end=\"2989\">Article 5 \u2013 Formation of the User Agreement<\/strong><\/h2><ol data-start=\"2990\" data-end=\"4072\"><li data-start=\"2990\" data-end=\"3168\"><p data-start=\"2993\" data-end=\"3168\">Le <strong data-start=\"2996\" data-end=\"3021\">contrat d\u2019utilisation<\/strong> est form\u00e9 d\u00e8s l\u2019acceptation par la Soci\u00e9t\u00e9 de la demande d\u2019inscription aux Services. L\u2019acceptation peut \u00eatre notifi\u00e9e sur le Site ou par e-mail.<\/p><\/li><li data-start=\"3169\" data-end=\"3290\"><p data-start=\"3172\" data-end=\"3290\">The applicant must accept the T&amp;C and provide the required information in the registration form.<\/p><\/li><li data-start=\"3291\" data-end=\"3563\"><p data-start=\"3294\" data-end=\"3563\">B2B Eligibility: Only professionals (resellers, retailers, salons, etc.) acting for business purposes are eligible. Registration must be completed under the applicant\u2019s real business name. Any false or misleading information may result in suspension or refusal of service.<\/p><\/li><li data-start=\"3564\" data-end=\"3684\"><p data-start=\"3567\" data-end=\"3684\">Unless additional verification is required, accounts may be activated automatically once the registration form is submitted in full.<\/p><\/li><li data-start=\"3685\" data-end=\"4072\"><p data-start=\"3688\" data-end=\"3747\">The Company may refuse or review a registration request if:<\/p><ol data-start=\"3751\" data-end=\"4072\"><li data-start=\"3751\" data-end=\"3817\"><p data-start=\"3754\" data-end=\"3817\">The registration is not made under the applicant\u2019s real identity;<\/p><\/li><li data-start=\"3821\" data-end=\"3890\"><p data-start=\"3824\" data-end=\"3890\">The details (name\/SIREN\/VAT) duplicate an existing account;<\/p><\/li><li data-start=\"3894\" data-end=\"3949\"><p data-start=\"3897\" data-end=\"3949\">The user reapplies after a termination due to violation;<\/p><\/li><li data-start=\"3953\" data-end=\"3980\"><p data-start=\"3956\" data-end=\"3980\">The account is under suspension;<\/p><\/li><li data-start=\"3984\" data-end=\"4014\"><p data-start=\"3987\" data-end=\"4014\">Technical issues prevent activation;<\/p><\/li><li data-start=\"4018\" data-end=\"4072\"><p data-start=\"4021\" data-end=\"4072\">The request is irregular, unlawful, or contrary to the T&amp;C.<\/p><\/li><\/ol><\/li><\/ol><h2 data-start=\"4074\" data-end=\"4120\"><strong data-start=\"4077\" data-end=\"4120\">Article 6 \u2013 Personal Data (GDPR)<\/strong><\/h2><ol data-start=\"4121\" data-end=\"4917\"><li data-start=\"4121\" data-end=\"4207\"><p data-start=\"4124\" data-end=\"4207\">Members must ensure the accuracy of their personal information and update it without delay.<\/p><\/li><li data-start=\"4208\" data-end=\"4331\"><p data-start=\"4211\" data-end=\"4331\">Notices sent to the email address provided by the Member are considered delivered. Failure to update information is the sole responsibility of the Member.<\/p><\/li><li data-start=\"4332\" data-end=\"4604\"><p data-start=\"4335\" data-end=\"4604\">Data is used solely for operating the Services and in accordance with the Member\u2019s consent. Any new purpose or transfer to third parties will require prior notification and, if applicable, separate consent\u2014unless required by law.<\/p><\/li><li data-start=\"4605\" data-end=\"4748\"><p data-start=\"4608\" data-end=\"4748\">The Company does not pre-check consent boxes, and refusal to provide non-essential data does not prevent access to basic Services.<\/p><\/li><li data-start=\"4749\" data-end=\"4917\"><p data-start=\"4752\" data-end=\"4917\">If personal data processing is outsourced, the Company applies a privacy policy compliant with the GDPR and appoints a Data Protection Officer (DPO). (See \u201cPrivacy Policy\u201d).<\/p><\/li><\/ol><h2 data-start=\"4919\" data-end=\"4972\"><strong data-start=\"4922\" data-end=\"4972\">Article 7 \u2013 Management of ID and Password<\/strong><\/h2><ol data-start=\"4973\" data-end=\"5260\"><li data-start=\"4973\" data-end=\"5084\"><p data-start=\"4976\" data-end=\"5084\">he Member is responsible for maintaining the confidentiality of their login credentials and must not share or lend them to third parties.<\/p><\/li><li data-start=\"5085\" data-end=\"5171\"><p data-start=\"5088\" data-end=\"5171\">The Member assumes all consequences of unauthorized use not attributable to the Company.<\/p><\/li><li data-start=\"5172\" data-end=\"5260\"><p data-start=\"5175\" data-end=\"5260\">In case of theft or unauthorized use, the Member must immediately notify the Company.<\/p><\/li><\/ol><h2 data-start=\"5262\" data-end=\"5292\"><strong data-start=\"5265\" data-end=\"5292\">Article 8 \u2013 Termination<\/strong><\/h2><ol data-start=\"5293\" data-end=\"5738\"><li data-start=\"5293\" data-end=\"5508\"><p data-start=\"5296\" data-end=\"5508\">By the Member:<br \/>The Member may terminate their account at any time via their profile, provided all ongoing transactions are settled (approx. 30 days). Promotional advantages may be withdrawn upon termination.<\/p><\/li><li data-start=\"5509\" data-end=\"5738\"><p data-start=\"5512\" data-end=\"5738\">By the Company:<br \/>The Company may terminate the account in case of serious breach (violation of third-party rights, fraud, obstruction of Services, etc.) after prior notice via email or phone.<br \/>Sales concluded before termination remain governed by these T&amp;C.<\/p><\/li><\/ol><h2 data-start=\"5740\" data-end=\"5778\"><strong data-start=\"5743\" data-end=\"5778\">Article 9 \u2013 Duration and Suspension<\/strong><\/h2><ol data-start=\"5779\" data-end=\"6048\"><li data-start=\"5779\" data-end=\"5852\"><p data-start=\"5782\" data-end=\"5852\">The Services remain active from account activation until termination.<\/p><\/li><li data-start=\"5853\" data-end=\"5946\"><p data-start=\"5856\" data-end=\"5946\">The Company may suspend Services temporarily for maintenance or technical failure; notice will be posted on the Site.<\/p><\/li><li data-start=\"5947\" data-end=\"6048\"><p data-start=\"5950\" data-end=\"6048\">In case of force majeure, Services may be restricted or suspended temporarily.<\/p><\/li><\/ol><hr data-start=\"6050\" data-end=\"6053\" \/><h1 data-start=\"6055\" data-end=\"6106\"><strong data-start=\"6057\" data-end=\"6106\">Chapter 3 \u2013 Use of Wholesale Services<\/strong><\/h1><h2 data-start=\"6108\" data-end=\"6154\"><strong data-start=\"6111\" data-end=\"6154\">Article 10 \u2013 Orders, Prices, and Payment<\/strong><\/h2><ol data-start=\"6155\" data-end=\"6986\"><li data-start=\"6155\" data-end=\"6275\"><p data-start=\"6158\" data-end=\"6275\">A sales contract is formed when a Member places an order under the sales conditions displayed on the Site.<\/p><\/li><li data-start=\"6276\" data-end=\"6415\"><p data-start=\"130\" data-end=\"318\">Accepted payment methods: credit\/debit card, PayPal, or SEPA bank transfer.<br data-start=\"213\" data-end=\"216\" \/>For SEPA transfers, orders are shipped within 24 hours after the payment has been received.<\/p><p data-start=\"320\" data-end=\"476\">If you require a specific payment method, such as Cash on Delivery (COD), please contact our sales team via WhatsApp.<\/p><\/li><li data-start=\"6416\" data-end=\"6499\"><p data-start=\"6419\" data-end=\"6499\">Members provide payment information under their sole responsibility.<\/p><\/li><li data-start=\"6500\" data-end=\"6594\"><p data-start=\"6503\" data-end=\"6594\">The Company may cancel an order if payment is not received within the stated timeframe.<\/p><\/li><li data-start=\"6595\" data-end=\"6670\"><p data-start=\"6598\" data-end=\"6670\">Order history is accessible in \u201cMy Account.\u201d<\/p><\/li><li data-start=\"6671\" data-end=\"6777\"><p data-start=\"6674\" data-end=\"6777\">The Company may verify the legitimacy of the payment method and suspend or cancel a transaction in case of doubt.<\/p><\/li><li data-start=\"6778\" data-end=\"6986\"><p data-start=\"6781\" data-end=\"6986\">The minimum order amount is \u20ac200. Volume discounts or free shipping thresholds may apply as displayed on the Site.<\/p><\/li><\/ol><h2 data-start=\"6988\" data-end=\"7017\"><strong data-start=\"6991\" data-end=\"7017\">Article 11 \u2013 Delivery<\/strong><\/h2><ol data-start=\"7018\" data-end=\"7716\"><li data-start=\"7018\" data-end=\"7135\"><p data-start=\"7021\" data-end=\"7135\">Shipping from our warehouse in the Paris region to all EU countries via partner carriers (e.g., UPS \/ DHL \/ GLS).<\/p><\/li><li data-start=\"7136\" data-end=\"7279\"><p data-start=\"7139\" data-end=\"7279\">&lt;Indicative timeframe: preparation within 24 business hours after payment; delivery within 2\u20137 business days within the EU (depending on destination).<\/p><\/li><li data-start=\"7280\" data-end=\"7407\"><p data-start=\"7283\" data-end=\"7407\">Shipping fees and any applicable free-delivery thresholds are displayed on the Site. Otherwise, they remain at the Member\u2019s expense.<\/p><\/li><li data-start=\"9076\" data-end=\"9228\"><p data-start=\"9079\" data-end=\"9228\">Opened, unsealed, or devalued items cannot be returned unless proven defective.<\/p><\/li><li data-start=\"9229\" data-end=\"9381\"><p data-start=\"9232\" data-end=\"9381\">Free gifts or samples included with the order must be returned for a full refund;
